PLEASE READ THESE TERMS OF SERVICE CAREFULLY. THEY SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS FOR YOUR USE OF THE PLATFORM. BY ACCESSING OR USING THE PLATFORM, YOU ARE AGREEING TO BE LEGALLY BOUND BY THESE TERMS OF SERVICE, WHICH INCLUDE DISCLAIMERS OF WARRANTY, LIMITATIONS OF LIABILITY, AND MANDATORY ARBITRATION OF DISPUTES. Welcome to Buyers Connect! You have arrived at www.buyersconnect.ai and/or are otherwise interacting with our Platform, which is owned and operated by Buyers Connect Inc. and its subsidiaries and affiliate entities (collectively, "Buyers Connect," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of any online service (e.g., website or mobile app) that posts a link to these Terms and all features, applications, content, downloads, and other services made available through or in connection with such service (collectively, the "Platform").

These Terms are an agreement between you (i.e., a corporation, business, other entity, or natural person who develops or supplies products for sale to retailers ("Vendor"), a retail buyer ("Buyer"), or other user (collectively, "you" or "your")) and Buyers Connect. We operate the Platform, which includes our AI-powered product discovery and matching tools, our vendor and buyer connection services, and any associated services, results, or reports provided to you.

1. Registration, User Information, Privacy, and Profiles

A. Registration

In order to access or use some or all of the features on the Platform, you must first register through our online registration process at www.buyersconnect.ai. You agree that: (i) You will not use a username or email address that is already being used by someone else, may impersonate another person, belongs to another person, violates the intellectual property or other right of any person or entity, or is offensive; (ii) You will provide true, accurate, current, and complete information about yourself and your products or services in connection with the registration process and will maintain and update it continuously to keep it accurate, current, and complete; (iii) You are solely responsible for all activities that occur under your account, password, and username; (iv) You are solely responsible for maintaining the confidentiality of your password and for restricting access to your devices; (v) You will immediately notify us of any unauthorized use of your account or any breach of security; and (vi) You will not sell, transfer, or assign your account or any account rights.

B. User Information

You acknowledge and agree that you are solely responsible for the accuracy and content of all information you provide (including personal information), and you agree to keep it up to date. If any information that you provide is false, inaccurate, outdated, incomplete, or violates these Terms, we may suspend or terminate your account without advance notice or liability. We reserve the right to terminate your account or suspend or deny access to it or its benefits, in our sole discretion, for any reason, without advance notice or liability.

C. Privacy

In the course of using the Platform, you may provide certain personal information to us, and we may collect information about you or as a result of your use of the Platform. Buyers Connect's policies for collection, use, and disclosure of such information are set forth in our Privacy Policy, which is incorporated herein by reference. You agree that we may collect data related to your use of the Platform, including product and matching data. Any and all data collected by Buyers Connect as a result of your use of or access to the Platform (excluding User-Generated Content and personal information protected by applicable law) is owned exclusively by Buyers Connect.

D. Profiles

After completing the registration process, you may create a profile page to showcase and provide information about your products, services, and company ("Profile Page"). Your Profile Page must not include any form of prohibited User-Generated Content as outlined in these Terms. We may offer you the ability to set preferences relating to your profile or Platform activities. We assume no responsibility or liability for users' Profile Page material. Profile Pages may only be set up by an authorized representative of the individual or entity that is the subject of the Profile Page.

2. Platform Content, Ownership, and Limited License

A. Content

The Platform contains a variety of materials and other items relating to Buyers Connect and its products and services, including all layout, information, text, data, files, images, graphics, photographs, videos, advertising copy, technology, software, the "look and feel" of the Platform, and the compilation, assembly, and arrangement of the materials of the Platform (collectively, "Content"). The Platform also contains trademarks, logos, trade names, service marks, and trade identities of Buyers Connect and other parties (collectively, "Trademarks").

B. Ownership

The Platform, including all Content, is owned by Buyers Connect and, as applicable, our licensors and certain other third parties. All right, title, and interest in and to the Content is the property of Buyers Connect or our licensors or certain other third parties, and is protected by U.S. and international copyright, trademark, patent, and other intellectual property and unfair competition rights and laws.

C. Limited License

Subject to your strict compliance with these Terms, Buyers Connect grants you a limited, non-exclusive, revocable, non-assignable, non-sublicensable, personal, and non-transferable license to download, display, view, use, and print the visible Content on a personal computer, mobile phone, or other internet-enabled device for your personal or internal business use only, in accordance with these Terms. This limited license does not give you any ownership of, or any other intellectual property right or interest in, any Content, and may be immediately suspended or terminated for any reason, in Buyers Connect's sole discretion, without advance notice or liability.

3. Content You Provide and User-Generated Content

A. Trademark License

In order to use the Platform, you hereby grant to Buyers Connect a worldwide, irrevocable, perpetual, royalty-free, fully paid-up, non-exclusive right and license to use, reproduce, and display, as applicable, your names, logos, marks, trademarks, and trade names ("User Marks") in connection with the Platform and Buyers Connect's provision of the Platform and related products and services.

B. User-Generated Content

Buyers Connect may offer users of the Platform the opportunity to create, post, upload, display, publish, distribute, or otherwise make available messages, text, files, images, graphics, photos, comments, videos, information, content, ratings, reviews, data, questions, suggestions, or other materials ("User-Generated Content"). Subject to the rights and license you grant in these Terms, you retain whatever legally cognizable right, title, and interest that you have in User-Generated Content, and you remain ultimately responsible for all User-Generated Content you provide.

C. License to Buyers Connect

You hereby grant to Buyers Connect a non-exclusive, unrestricted, unconditional, unlimited, worldwide, irrevocable, perpetual, royalty-free, fully paid-up right and license to use, copy, distribute, reproduce, disclose, sublicense, display, publicly perform, transmit, publish, translate, make derivative works of, and otherwise use and exploit in any manner whatsoever, all or any portion of User-Generated Content you provide, for any purpose whatsoever in all formats, on or through any means or medium now known or hereafter developed. You understand that you will not receive any fees, sums, consideration, or remuneration for any of the rights granted in this section.

D. Product Information Representations

If you are a Vendor and post product and/or company information, you represent and warrant that: (i) User-Generated Content you provide about such products and company is truthful and not misleading, deceptive, or inaccurate in any way; (ii) You agree to provide Buyers with information necessary to ensure that the Buyer is fully informed as to the intended and proper use of the product; (iii) Your product has been produced, manufactured, packaged, and supplied strictly in accordance with relevant consumer protection and product safety regulations and good manufacturing practices; and (iv) Your products have been produced, designed, manufactured, packaged, and supplied in a way that does not infringe any intellectual property rights of any third party.

4. AI-Powered Matching Services

A. AI Matching Technology

Buyers Connect utilizes proprietary artificial intelligence and machine learning technology to match Vendors with Buyers based on product fit, category alignment, and other relevant factors ("AI Matching Services"). You acknowledge and agree that: (i) AI Matching Services are provided on an "as is" basis; (ii) Matches are generated algorithmically based on available data and may not guarantee a business relationship; (iii) Buyers Connect does not guarantee any specific number of matches, inquiries, or business outcomes; and (iv) The accuracy and relevance of matches depend on the completeness and accuracy of information you provide.

B. No Pay-to-Play

Buyers Connect operates on a merit-based matching model. All Vendors with active subscriptions receive equal access to our AI matching technology regardless of subscription tier. There are no premium visibility tiers or paid placements that boost a Vendor's visibility to Buyers. Discovery is earned based on product fit and relevance, not on payment level.

C. Data Usage for AI Services

You consent to Buyers Connect using your User-Generated Content, product information, profile data, and platform activity to: (i) power and improve our AI Matching Services; (ii) generate insights about market trends and buyer preferences; (iii) enhance the relevance and accuracy of matches; and (iv) develop and improve our platform and services. Aggregated and anonymized data derived from your use of the Platform is owned exclusively by Buyers Connect.

5. Community Usage Rules

As a user of the Platform, these Community Usage Rules ("Rules") are here to help you understand the conduct that is expected of members of the Platform's online communities:

User-Generated Content. All User-Generated Content you provide must be original with you or you must have all necessary rights from third parties. User-Generated Content must not contain logos, phrases, or trademarks that belong to third parties without authorization.

Act Appropriately. All of your Platform activities must be venue appropriate. Be respectful of others' opinions and comments. User-Generated Content must not be defamatory, slanderous, indecent, obscene, pornographic, or sexually explicit.

Be Honest. Do not impersonate any other person, user, or company, and do not provide User-Generated Content that you believe may be false, fraudulent, deceptive, inaccurate, or misleading, or that misrepresents your products or identity.

Protect Privacy. User-Generated Content must not reveal another person's personal information without their consent, including address, phone number, email address, or other personally identifiable information.

No Harmful Content. User-Generated Content must not provide or include viruses, Trojan horses, spyware, or any other technologies or malicious code that could impact the operation of the Platform or any device.

Compliance with Laws. You will perform your obligations and exercise your rights under these Terms in compliance with all applicable laws and regulations.

6. Platform Use Restrictions

You agree that you will not, nor will you permit any person to: (i) use any meta tags or any other "hidden text" utilizing any Trademarks; (ii) engage in any activities through or in connection with the Platform that seek to harm any individuals or entities or are unlawful, offensive, obscene, threatening, harassing, or abusive; (iii) reverse engineer, decompile, disassemble, or modify any Platform source or object code or any software or other products accessible through the Platform; (iv) engage in any activity that interferes with a user's access to the Platform or the proper operation of the Platform; (v) interfere with or circumvent any security feature of the Platform; (vi) harvest or collect any information about other users of the Platform without their express consent; (vii) attempt to gain unauthorized access to the Platform or other computer systems or networks connected to the Platform; (viii) use any robot, spider, scraper, or other automatic device to access the Platform or collect data; or (ix) otherwise violate these Terms.

7. Subscription Plans and Payment Terms

A. Subscription Plans for Vendors

Buyers Connect offers subscription plans for Vendors to access the Platform's AI matching services. Current subscription plans and pricing are displayed on the Platform at the time of purchase. Subscription plans may include different features and benefits as described on the Platform. Buyers Connect reserves the right to modify subscription plans, features, and pricing at any time.

B. Buyer Access

Buyers may access the Platform and use certain features at no charge. Buyers Connect reserves the right to modify Buyer access, features, and any applicable fees at any time.

C. Payment Terms

You must pay to Buyers Connect any and all amounts payable under these Terms or in connection with your use of the Platform. All payments must be remitted through our website or other payment methods we make available. We use third-party payment processors to process all payments. If the credit or debit card or other payment information that you submit is incorrect or invalid, your payment will not be processed. We have no responsibility or liability if your payment method is declined.

D. Auto-Renewal

Subscription plans will auto-renew at the end of each subscription period unless canceled by you or Buyers Connect prior to the renewal date. You may cancel your subscription at any time through your account settings or by contacting customer support. Cancellation will be effective at the end of the current billing period.

E. Refunds

All subscription purchases are nonrefundable except as expressly set forth in these Terms or as required by applicable law. If we suspend or terminate your account due to your breach of these Terms, you will forfeit the remaining subscription period without refund.

8. Vendor and Buyer Transactions

A. Direct Relationships

The Platform facilitates connections between Vendors and Buyers. Any interactions, correspondence, transactions, and other dealings that you have with other Platform users are solely between you and the other party. Buyers Connect is not a party to any agreements, negotiations, or transactions between Vendors and Buyers, and Buyers Connect disclaims all liability in connection therewith.

B. No Guarantee of Results

Buyers Connect does not guarantee that: (i) a subscription will result in any purchase order, commitment, or business relationship from a Buyer; (ii) any specific number of matches, inquiries, or responses will be generated; (iii) any particular business outcome will be achieved; or (iv) the Platform will be suitable for your particular business needs. Results may vary based on many factors outside of Buyers Connect's control.

C. Compliance

Vendors and Buyers agree to comply with all applicable laws, regulations, and industry standards in connection with any transactions or business relationships facilitated through the Platform. Vendors are solely responsible for ensuring their products comply with all applicable product safety, labeling, and other regulatory requirements.

9. Intellectual Property Rights

A. Copyright Infringement (DMCA)

Buyers Connect will respond appropriately to notices of alleged copyright infringement that comply with the U.S. Digital Millennium Copyright Act ("DMCA"). If you believe that your copyright has been infringed by material on the Platform, you may send us a written DMCA notice that includes: (i) a description of the copyrighted work; (ii) a description of where the infringing material is located; (iii) your contact information; (iv) a statement of good faith belief that the use is not authorized; (v) a statement under penalty of perjury that the information is accurate; and (vi) your signature.

B. Other Intellectual Property

If you believe that your intellectual property other than copyright has been infringed by material on the Platform, you may send us a written notice with information similar to that required for DMCA notices. We will act on such notices in our sole discretion.

10. Third-Party Sites and Services

The Platform may contain links to third-party websites, applications, or services that are not owned or controlled by Buyers Connect ("Third-Party Sites"). Buyers Connect has no control over the content, operations, policies, terms, or other elements of Third-Party Sites, and does not assume any obligation to review any Third-Party Sites. Buyers Connect does not endorse, approve, or sponsor any Third-Party Sites. Any activities you engage in connection with Third-Party Sites are subject to the privacy and other policies, terms, and rules issued by the operator of those Third-Party Sites. Buyers Connect disclaims all liability in connection therewith.

11. Dispute Resolution and Arbitration

A. Informal Resolution

If any controversy, allegation, or claim arises out of or relates to the Platform, the Content, User-Generated Content, or these Terms (collectively, "Dispute"), you and we agree to first attempt to resolve the Dispute informally. You agree to send a written notice to Buyers Connect providing a reasonable description of the Dispute, along with a proposed resolution. For a period of sixty (60) days from the date of receipt of notice, Buyers Connect and you will engage in good faith dialogue to attempt to resolve the Dispute.

B. Binding Arbitration

If informal resolution is unsuccessful, you agree that any Dispute shall be resolved solely by binding arbitration before a sole arbitrator under the commercial dispute rules of the American Arbitration Association ("AAA"). The arbitration shall be held in [CITY, STATE], and the arbitrator shall apply the substantive laws of the State of [STATE]. The arbitrator shall issue a written decision and shall have the power to award any legal remedies consistent with these Terms, except for punitive, exemplary, or special damages.

C. Class Action Waiver

YOU AND BUYERS CONNECT AGREE THAT DISPUTES WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND WILL NOT BE CONSOLIDATED WITH ANY OTHER CLAIMS, SUITS, OR OTHER PROCEEDINGS. You expressly waive any right to participate in any class action lawsuit or class-wide arbitration.

D. Jury Waiver

IF FOR ANY REASON A DISPUTE PROCEEDS IN COURT RATHER THAN ARBITRATION, YOU AND BUYERS CONNECT EACH WAIVE ANY RIGHT TO A JURY TRIAL.

E. Time Limitation

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IF YOU OR WE WANT TO ASSERT A DISPUTE AGAINST THE OTHER, THEN YOU OR WE MUST COMMENCE IT WITHIN TWO (2) YEARS AFTER THE DISPUTE ARISES, OR IT WILL BE FOREVER BARRED.

12. Disclaimer of Warranties

THE PLATFORM, INCLUDING ALL SERVICES, AI MATCHING SERVICES, AND THE PRODUCTS AND INFORMATION MADE AVAILABLE OR ACCESSED THROUGH THE PLATFORM, IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. TO THE FULLEST EXTENT PERMISSIBLE BY LAW, BUYERS CONNECT AND ITS SUBSIDIARIES, AFFILIATES, EMPLOYEES, DIRECTORS, MEMBERS, MANAGERS, SHAREHOLDERS, AGENTS, VENDORS, LICENSORS, CONTRACTORS, CUSTOMERS, SUCCESSORS, AND ASSIGNS (COLLECTIVELY, "BUYERS CONNECT PARTIES") HEREBY DISCLAIM AND MAKE NO REPRESENTATIONS, WARRANTIES, ENDORSEMENTS, OR PROMISES, EXPRESS OR IMPLIED, AS TO:

(a) the Platform, Content, User-Generated Content, or AI Matching Services; (b) the functions, features, or any other elements on or made accessible through the Platform; (c) any products, services, or instructions offered or referenced at or linked through the Platform; (d) security associated with the transmission of information to or via the Platform; (e) whether the Platform or its servers are free from harmful components; (f) whether information on the Platform is accurate, complete, correct, adequate, useful, timely, or reliable; (g) whether any defects or errors on the Platform will be repaired or corrected; (h) whether your access to the Platform will be uninterrupted; (i) whether the Platform will be available at any particular time or location; (j) whether your use of the Platform is lawful in any particular jurisdiction; or (k) the volume of matches, inquiries, or business accessible through the Platform.

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, BUYERS CONNECT PARTIES HEREBY FURTHER DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR OTHERWISE, INCLUDING THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, CUSTOM, TRADE, QUIET ENJOYMENT, SYSTEM INTEGRATION, AND FREEDOM FROM COMPUTER VIRUS.

13. Limitation of Liability

UNDER NO CIRCUMSTANCES WILL ANY BUYERS CONNECT PARTIES BE RESPONSIBLE OR LIABLE FOR ANY LOSS OR DAMAGES OF ANY KIND, including personal injury or death or for any direct, indirect, economic, exemplary, special, punitive, incidental, or consequential losses or damages that are directly or indirectly related to or that arise from: (a) the Platform, Content, User-Generated Content, or AI Matching Services; (b) your use of or inability to use the Platform; (c) any action taken in connection with an investigation by Buyers Connect Parties or law enforcement authorities; (d) any action taken in connection with intellectual property rights; (e) any errors or omissions in the Platform's technical operation; (f) any damage to any user's equipment or technology; or (g) any products or services mentioned on or made available via the Platform.

WITHOUT LIMITING THE FOREGOING AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL BUYERS CONNECT PARTIES' TOTAL LIABILITY TO YOU, FOR ALL POSSIBLE DAMAGES, LOSSES, AND CAUSES OF ACTION, EXCEED THE AMOUNT YOU HAVE PAID BUYERS CONNECT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to defend, indemnify, and hold Buyers Connect Parties harmless from and against any and all claims, damages, losses, costs, investigations, liabilities, judgments, fines, penalties, settlements, interest, and expenses (including attorneys' fees) that directly or indirectly arise from or are related to any claim, suit, action, demand, or proceeding arising out of or in connection with: (i) User-Generated Content you provide; (ii) your access to and use of the Platform; (iii) your breach or alleged breach of these Terms; (iv) your violation of any laws, rules, regulations, or codes; (v) information transmitted through your device that infringes any right of any person or entity; (vi) any misrepresentation made by you; (vii) Buyers Connect Parties' use or disclosure of information you provide; (viii) your products or services; and (ix) your negligence, willful misconduct, or fraud.

15. Modifications to Terms

These Terms, in the form posted at the time of your use of the applicable services, shall govern such use. AS OUR PLATFORM EVOLVES, THE TERMS AND CONDITIONS UNDER WHICH WE OFFER THE PLATFORM MAY BE MODIFIED, AND WE MAY CEASE OFFERING THE PLATFORM UNDER THE TERMS FOR WHICH THEY WERE PREVIOUSLY OFFERED. Each time you sign in to or otherwise use the Platform, you are entering into a new agreement with us on the then-applicable terms. We may notify you of modified terms by posting them on the Platform, and your use of the Platform after such notice constitutes your agreement to the modified terms. You should review the posted Terms each time you use the Platform.

16. General Provisions

A. Governing Law

These Terms shall in all respects be governed by the laws of the State of [STATE] without reference to its principles of conflicts of laws, regardless of your location.

B. Relationship of the Parties

Buyers Connect is an independent contractor. These Terms do not create any agency, partnership, joint venture, employment, or fiduciary relationship between the parties.

C. Assignment

Buyers Connect may assign its rights and obligations under these Terms, in whole or in part, to any party at any time without notice. These Terms may not be assigned by you without the prior written consent of Buyers Connect.

D. Severability

If any provision of these Terms is deemed invalid, unlawful, void, or unenforceable, then that provision will be deemed severed from these Terms, and the invalidity of the provision will not affect the validity or enforceability of the remainder of these Terms.

E. No Waiver

No failure or delay by Buyers Connect in exercising any rights, powers, or remedies under these Terms will operate as a waiver of that or any other right, power, or remedy. No waiver of any term of these Terms will be effective unless in writing and signed by Buyers Connect.

F. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms that may apply to specific features or services, constitute the entire agreement between you and Buyers Connect with respect to the Platform and supersede all prior or contemporaneous communications and proposals.
